Changes to the Composition of the Company’s Supervisory Board

The Management Board of Polski Holding Nieruchomości S.A. (the “Company”) hereby informs that on July 28, 2015, the Ordinary General Meeting of Shareholders dismissed Mr. Antoni Leonik as Member of the Supervisory Board and appointed Mr. Bartłomiej Prus and Ms. Barbara Karczyńska as Members of the Supervisory Board. The Ordinary General Meeting of Shareholders also appointed Ms. Izabela Felczak-Poturnicka as President of the Supervisory Board.

Mr. Bartłomiej Prus is legal advisor at the Legal and Litigation Department of the Ministry of Treasury, where he has worked since 2008. He specializes in civil and economic law. Bartłomiej has represented the Treasury – the Minister of Treasury in numerous litigations. He also has many years of experience in supervisory boards of companies. He currently serves as Vice-President of the Supervisory Board of PCO S.A. with its registered office in Warsaw. Previously, he held among others the position of Secretary and President of the Supervisory Board of Eurolot S.A. with its registered office in Warsaw, and in 2012–2014 he was President of the Supervisory Board of Zakłady Przemysłu Wełnianego „TOMTEX” S.A. Bartłomiej Prus has graduated from the Law Faculty of the University of Rzeszów. He has completed judge’s training at the Court of Appeal in Rzeszów and passed the judge’s exam. In 2009–2014, he was entered on the list of advocates of the Advocate Chamber in Warsaw, and since 2014 he has exercised the profession of legal advisor.

Mr. Bartłomiej Prus declared that:

  • he has full capacity to perform legal transactions;
  • he complies with the restrictions and bans on performing functions in companies’ governing bodies and bans on competition, resulting from legal regulations;
  • he has not been convicted of any of the offences listed in Chapters XXXIII–XXXVII of the Civil Code Act of June 6, 1997 (Journal of Laws of 1997 No. 88, item 553, as amended) and in Article 587, 590 and 591 of the Commercial Companies Code Act of September 15, 2000 (Journal of Laws of 2013, item 1030, as amended).

Since 1997, Ms. Barbara Karczyńska has worked at the Ministry of Treasury, in departments which supervise companies with the Treasury’s stake. She currently holds the position of Chief Specialist at the Department of Ownership Supervision, where she is responsible for ownership supervision over companies from various industries. Barbara has 20 years of supervisory board experience, having served as President of the Supervisory Board of Zespół Elektrowni Wodnych Niedzica S.A., Uzdrowisko Świeradów-Czerniawa Sp. z o.o., Przedsiębiorstwo Komunikacji Samochodowej w Kielcach S.A., and Zakład Przemysłu Odzieżowego „CORA-TEX” w Krasnymstawie S.A. She has also held other functions in companies’ supervisory boards.

Ms. Barbara Karczyńska has graduated from the University of Planning and Statistics (currently the Warsaw School of Economics). She also completed numerous courses in finance, accounting, restructuring and property valuation.

Ms. Barbara Karczyńska declared that she:

  • she has full capacity to perform legal transactions;
  • she complies with the restrictions and bans on performing functions in companies’ governing bodies and bans on competition, resulting from legal regulations;
  • she has not been convicted of any of the offences listed in Chapters XXXIII–XXXVII of the Civil Code Act of June 6, 1997 (Journal of Laws of 1997 No. 88, item 553, as amended) and in Article 587, 590 and 591 of the Commercial Companies Code Act of September 15, 2000 (Journal of Laws of 2013, item 1030, as amended).

Legal basis:
Article 5.1.22 and Article 28 of the Regulation of the Minister of Finance of February 19, 2009 on current and periodic information published by issuers of securities and the conditions of recognizing information required by the regulations of non-member states as equivalent.
